Terms of Service

1. Who you are contracting with

Verbato is a service operated by Versa Studio LLC, a Wyoming limited liability company ("Versa Studio," "we," "us," or "our"). These Terms are an agreement between you and Versa Studio LLC.

2. Acceptance and eligibility

By creating an account or using Verbato ("the Service"), you agree to these Terms. If you do not agree, do not use the Service.

Verbato is not directed to children. You must be at least 16 years old to use it, or at least 13 where the law that applies to you sets a lower minimum age for online services. If you are using Verbato on behalf of an organisation, you confirm you are authorised to accept these Terms for it, and "you" means that organisation.

3. What the Service is

Verbato turns a recording into a transcript, and optionally into documents derived from that transcript. In practice that means:

• Projects. A recording you upload, record in the browser, or send us a link to, together with everything produced from it.
• Transcripts. Automated speech-to-text, optionally with speakers separated.
• Documents. Structured outputs generated from a transcript — summaries, notes, reports and similar — which you can edit, regenerate and export.
• Packs, templates and instructions. Reusable definitions that decide what documents a project produces and how they are shaped. You can use ours, edit your own copies, or write your own.
• Channels. Optional ways to send recordings in and get results back outside the web app.
• The API. A programmatic interface, available on the Business plan.

We may change, add or remove features. If we remove something you rely on, we will say so in advance where we reasonably can.

4. Your account

You need an account to use Verbato. You are responsible for what happens under it, including keeping your sign-in credentials and any API keys confidential. Tell us promptly if you believe your account or a key has been compromised. One person or organisation per account; do not share an account to avoid plan limits.

5. Your content

You own what you bring and what Verbato produces from it. Your recordings, your transcripts and the documents generated from them are yours. We claim no ownership of them.

To operate the Service we need a limited licence, and only that: you grant us a non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit, process and display your content solely to provide the Service to you — to transcribe it, to generate the documents you ask for, to deliver results to the channels you link, and to let you share or export what you choose. The licence exists for those purposes and ends when your content is deleted.

We do not use your content to train or improve any model, and we never sell or rent it. That applies to us and to the services we send it to: we use them under terms that do not permit training on customer content. The Subprocessors page names every service involved and what each one reaches.

We do not review, listen to or read your content except where you specifically ask us to in order to resolve a support issue, or where we are required to.

6. Your right to record and to process

Verbato's front door is a recorder, and the law about recording people varies by place. In many jurisdictions everyone in a conversation must be told, or must agree, before it is recorded — and that obligation sits with the person doing the recording.

You confirm that, for everything you put into Verbato:

• you have the right to record it, to hold it, and to have it processed by an automated service on your behalf;
• you have given whatever notice, and obtained whatever consent or authorisation, the law where you and the other participants are requires;
• doing so does not breach anyone else's rights, or a duty of confidence or a professional obligation you owe.

We cannot make this judgement for you and we do not try to. We do not know who is in your recording, where they were, or what you told them. Deciding whether you may record and process a given conversation is yours, and you are responsible for it.

7. AI output: drafts, not advice

Transcription and document generation are automated. Accuracy varies with audio quality, language, accent, vocabulary, background noise and how many people are speaking, and it is never guaranteed. Generated documents can be incomplete, can misattribute who said what, and can state things that were not said.

Everything Verbato produces is a draft for a person to check. Review it before you rely on it, and always before it goes anywhere consequential.

Nothing Verbato produces is professional advice — not medical, not legal, not veterinary, not financial, not therapeutic, and not advice of any other regulated kind. Verbato is not a party to your relationship with the people you serve, does not exercise professional judgement, and is not a system of record.

A pack is a format, not a judgement. Some packs shape documents into forms used in particular professions. That is a matter of layout, headings and conventions. It is not a clinical, legal or other professional opinion, it does not mean a document is fit for any particular purpose, and it does not transfer any part of your professional responsibility to us. If you are a professional, you remain the professional of record for everything you produce, sign or file.

8. Acceptable use

You agree not to:

• process recordings you have no right to process, or that you obtained by recording people who had a right to be told and were not;
• use the Service to break the law, to infringe someone's rights, or to harass, defraud or endanger anyone;
• upload material that is unlawful, or that you are contractually or professionally barred from disclosing to a processor;
• attempt to circumvent plan limits, quotas, rate limits, access controls or security measures, including by using multiple accounts;
• probe, scan, overload or interfere with the Service or the infrastructure it runs on, or attempt to access another account's data;
• reverse engineer the Service, or use it to build a competing product, or resell or redistribute it without our written agreement;
• use automated means to extract data from the Service other than through the API and within its limits.

9. Plans, hours and billing

Plans, what each includes, and their prices are on the pricing page. There are four: Free, Personal, Professional and Business.

Hours of audio are the only thing we meter. Each plan includes an allowance of audio hours per billing period. Time is counted when a recording is transcribed, measured on the length of the audio. Documents, editing, regeneration and exports are never metered — producing a document from a transcript you have already paid to transcribe costs you nothing further.

Not metered is not the same as without limit. Some features carry a per-plan cap on how often they can be used, and the higher plans raise those caps. What your plan includes is on the pricing page.

• Allowances are granted per billing period and do not carry over into the next one.
• Top-up packs add hours to an account. Pack hours are used after the monthly allowance, and are lost if the subscription lapses.
• On the Business plan, audio beyond the included allowance is billed per hour in arrears on the same invoice. On the other plans, transcription stops when the allowance is spent until the next period or a top-up.
• Paid plans are billed in advance through our payment processor, monthly or annually depending on what you chose. Card details are handled by the payment processor and never reach us.

Cancellation and refunds are governed by our Refund & Cancellation Policy. We may change prices; that policy says how notice is given.

10. Retention and deletion

Recordings and the material derived from them are kept for a limited period by default and then permanently deleted, and you can delete anything sooner. How long, how the period is set, and what a deletion actually removes are described in the Privacy Policy, which is the authority on it — we do not restate those details here so that the two can never disagree.

11. Channels and third-party services

You can optionally connect Verbato to services you already use, so that recordings reach us and results come back without opening the web app. Where you do:

• That service's own terms and privacy policy apply to your use of it, alongside these Terms. We do not control them and are not responsible for them.
• Your content and the identifier needed to reach you pass through that service. If that matters to you, do not link the channel.
• A channel can change, break or be withdrawn by its operator, and we may stop supporting one.
• Telegram groups. In a Telegram group, our bot transcribes a voice note when a member who has linked their Telegram account to Verbato replies to it and mentions the bot. For that to work, Telegram delivers every message in the group to our servers, not only the ones addressed to the bot. Anything not addressed to the bot is discarded on arrival: none of it is stored, and its content is never logged.

Verbato also relies on other companies to run at all — to store files, to transcribe, to generate documents, to take payments. They are listed on the Subprocessors page.

Data Processing Agreement. If you are using Verbato on behalf of an organisation and need a DPA, ask for one at legal@verbato.io. We will send you our standard template to review.

12. The API

The API is available on the Business plan. API keys authenticate a machine, not a person, and are deliberately limited: a key cannot change your plan or payment method, cannot delete your account or its projects, cannot bind or unbind channels, and cannot create or revoke other keys. Those actions require a signed-in person.

You are responsible for keeping keys secret and for everything done with them. Revoke a key you no longer need. Usage through the API counts against the same hour allowance as everything else, and is subject to rate limits. We may change the API, and will avoid breaking existing integrations without notice where we reasonably can.

13. Suspension and termination

You can stop using Verbato at any time, cancel from Settings, and delete your account yourself.

We may suspend or terminate an account that breaches these Terms, that is being used unlawfully, that is putting the Service or other users at risk, or whose payment has failed and not been resolved. Where the circumstances allow it we will warn you first and give you a chance to put it right; for serious or urgent problems we may act immediately. If we terminate an account without cause, we will refund the unused portion of any period you have paid for.

On termination your right to use the Service ends. What happens to your data is described in the Privacy Policy.

14. Disclaimers and limitation of liability

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any output will be accurate or fit for your purpose. We do not sell an uptime commitment.

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data, or the cost of substitute services, however caused.

Our total liability arising out of or relating to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim. If you have paid us nothing, our liability is limited to putting things right or ending the agreement. Nothing in these Terms excludes liability that cannot lawfully be excluded.

15. Indemnity

You will indemnify and hold harmless Versa Studio LLC against claims, losses and reasonable costs arising from your use of the Service in breach of these Terms — in particular from a claim that you did not have the right to record or process material you put into Verbato, or that a document you produced with it caused harm to someone you serve. This does not apply to the extent the claim arises from our own breach of these Terms.

16. Changes to these Terms

We may update these Terms. When a change is material we will tell you before it takes effect — by email to the address on your account, or by a notice in the app — and the date at the top of this page will change. Continuing to use the Service after a change takes effect means you accept it. If you do not, cancel and stop using Verbato; the refund policy applies as normal.

17. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. You and Versa Studio LLC agree that the state and federal courts located in Wyoming have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

If you live somewhere whose law gives you the right to bring proceedings locally, or protections that cannot be overridden by agreement, this section does not take those away.

Before starting proceedings, please write to us. Most disputes are quicker to fix by email than by either of us going to court.

18. General

These Terms, together with the Privacy Policy and the Refund & Cancellation Policy, are the entire agreement between us about the Service. If any provision is held unenforceable, the rest stands. Our not enforcing a provision is not a waiver of it. You may not assign this agreement without our consent; we may assign it to a successor to our business.
